Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Groundskeeper (the "Service"), provided by The Cantwell LLC ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Groundskeeper is a project-management application for professional-services teams, including AI-assisted features that process content you provide. We may update, improve, or change the Service over time.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old to use the Service.

3. Subscriptions, trials & billing

The Service is offered on a paid subscription. Key terms you should understand before you subscribe:

• Free trial. New subscriptions may include a free trial of a stated length (currently 14 days). A valid payment method is required to start a trial.
• Automatic conversion. Unless you cancel before your trial ends, your subscription automatically converts to a paid plan and your payment method is charged the plan's then-current recurring fee.
• Recurring charges. Paid plans renew automatically each billing period (monthly or annually, as selected) at the then-current price until cancelled.
• First charge date. Your payment processor shows the exact date of your first charge during checkout.
• Cancellation. You may cancel at any time from Settings → Billing, which opens the customer portal. Cancelling is as easy as subscribing. Cancellation stops future charges; it takes effect at the end of the current paid period unless stated otherwise.
• Refunds. Fees are generally non-refundable except where required by law or stated in writing.

Payments are processed by Stripe; your card details are handled by Stripe and not stored by us.

4. Your content & license

You retain ownership of the content you upload or create in the Service ("Customer Content"). You grant us a limited license to host, process, and display Customer Content solely to provide the Service — including processing it through our AI sub-processor to power AI-assisted features. You are responsible for having the rights to the content you submit.

5. Acceptable use

You agree not to misuse the Service, including by attempting to breach security, reverse-engineer the Service, upload unlawful content, or use it to violate the rights of others or the terms of any third-party service we rely on.

6. Third-party services

The Service integrates optional third-party providers that you choose to connect (for example, Fireflies for meeting transcription). Your use of those features is also subject to those providers' terms. We are not responsible for third-party services.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by law. AI-generated output may be inaccurate or incomplete; review it before relying on it.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for violation of these Terms or as required by law.

10. Changes to these Terms

We may update these Terms. Material changes will be indicated by an updated revision date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules.
